SERVICE

These Terms of Service ("Terms") are a legal agreement between you and RealTime Networking LLC ("RTN," "RTN Smart," "we," "us," or "our") governing your access to and use of the RTN Smart Loyalty platform, the RTN Smart and RTN Rewards mobile applications, the merchant dashboard at app.rtnsmart.com, our websites (including rtnsmart.com, rtnrewards.com, and rtnhub.com), and all related products, portals, and services (collectively, the "Services").

These Terms contain an arbitration agreement and a class-action waiver in Section 19 that affect your legal rights.

Definitions

• "Merchant" — a convenience store owner, multi-store operator, or authorized employee who subscribes to or operates the Platform.
• "Consumer" — an individual shopper who uses the RTN Rewards app or participates in loyalty, payments, or offers at participating stores.
• "Partner" — an association, distributor, manufacturer, jobber, advertiser, vendor, or investor using a partner portal.
• "User," "you" — any person who accesses or uses the Services.
• "Content" — software, text, data, designs, and materials made available through the Services.

Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. Merchant accounts may only be opened by an individual authorized to act on behalf of the business. Features involving age-restricted products (such as tobacco and alcohol) are limited to users who meet the applicable minimum legal age (21+ for tobacco). By using the Services, you represent that you meet these requirements.

Accounts and Security

You must provide accurate, current, and complete information when registering and keep it updated. You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately at admin@rtnsmart.com of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security or legal risk.

Description of the Services

The Platform provides an integrated set of products for independent convenience stores, which may include back-office management (RTN Smart BOS), consumer loyalty (RTN Loyalty / RTN Rewards), POS middleware (RTN Bridge), point-of-sale tools (RTN POS), digital signage (RTN Display / RTN Connect), AI features (RTN LAI, self-healing, AURA), payment processing (RTN Payment Gateway), the RTN Discount Terminal, lottery integration, and manufacturer scan data and rebate compliance. Specific features depend on your plan, configuration, and store hardware. We may add, modify, or discontinue features at any time.

Subscriptions, Fees, and Billing

5.1 Plans and Free Trial

Merchant subscriptions are offered in tiers (such as Starter, Growth, Pro, and Enterprise) at the prices published on our website, billed monthly or annually. New merchants may be eligible for a 14-day free trial with no setup fee. At the end of a trial, your selected plan begins unless you cancel.

5.2 Auto-Renewal and Cancellation

Subscriptions renew automatically for successive billing periods until cancelled. You may cancel at any time, effective at the end of the current billing period. There are no long-term contracts and no early-termination penalty. Except where required by law, fees already paid are non-refundable.

5.3 Changes to Pricing

We may change pricing or plan features. We will provide notice of material price changes before they take effect, and changes apply to your next renewal.

5.4 Taxes

Fees are exclusive of taxes. You are responsible for applicable taxes other than taxes on our income.

5.5 Associations and Referrals

Association discounts, revenue-share arrangements, and referral credits are subject to the specific terms of those programs as published or communicated to you.

Payments Processing

Card payments are processed by third-party, PCI-compliant payment processors (such as ProPay/Clearent). By using payment features, you also agree to the applicable processor's terms. RTN does not store full payment card numbers; we retain only limited transaction details as described in our Privacy Policy. We are not responsible for the acts or omissions of payment processors or financial institutions.

RTN Cash and Loyalty Points

The following terms apply:

• Points (including RTN Cash, where 100 points = $1 in redemption value) are a promotional reward with no independent cash value.
• Points are not stored value, a prepaid product, a gift card, a wallet, a deposit, or a money-transmitter service, and are not redeemable for cash except where required by law.
• Points are earned and redeemed only as described in the program rules and only at participating stores.
• Points are personal to your account, are not transferable, and may not be sold, bartered, or assigned.
• We may modify, suspend, or terminate the loyalty program, adjust earning and redemption rates, or expire points, consistent with applicable law and reasonable notice.
• Fraud, abuse, or violation of these Terms may result in forfeiture of points and account termination.

Merchant Responsibilities and Compliance

If you are a Merchant, you agree that:

• You are solely responsible for the accuracy, legality, and completeness of the data you provide and the transactions processed through your store, including item-level scan data.
• You are responsible for your own legal and regulatory compliance, including age verification and the sale of age-restricted products such as tobacco and alcohol, and for any required licenses and permits.
• Manufacturer scan data submissions and rebate eligibility are subject to the rules of the relevant manufacturer programs (AGDC/Altria, RJR/Reynolds, ITG/Imperial). RTN facilitates submission but does not guarantee rebate amounts, approval, or program acceptance.
• You will connect only POS systems and hardware you are authorized to use, and you grant RTN permission to access relevant store data to provide the Services.
• You are responsible for your employees' use of the Platform under your account.

Consumer Responsibilities

If you are a Consumer, you agree to use the RTN Rewards app and loyalty features for lawful, personal purposes; to provide accurate information; and to comply with program rules. You are responsible for transactions made using your account and for any age verification required to purchase age-restricted products.

Acceptable Use

You agree not to:

• Violate any law or regulation or infringe the rights of others.
• Access the Services through unauthorized means or interfere with their operation or security.
• Reverse engineer, decompile, copy, or create derivative works from the Services except as permitted by law.
• Introduce malware or attempt to gain unauthorized access to systems or data.
• Use the Services to submit false, fraudulent, or non-compliant data, or to manipulate loyalty points, rebates, or compliance reporting.
• Resell, sublicense, or commercially exploit the Services except as expressly permitted.
• Scrape, harvest, or collect data about other users.

Intellectual Property

The Services, including all software, designs, text, graphics, logos, and the "RTN," "RTN Smart," and related marks, are owned by RTN or its licensors and protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. All rights not expressly granted are reserved. You retain ownership of your own data; you grant RTN a license to host, process, and use that data to provide and improve the Services as described in our Privacy Policy.

Third-Party Services and Integrations

The Services interoperate with third parties, including POS systems (Gilbarco, Verifone, Wayne, NCR), payment processors, tobacco manufacturers, app stores, and others. We are not responsible for third-party products, services, or terms, and your use of them is at your own risk and subject to their agreements.

AI Features

The Platform includes AI-driven features that provide automated diagnostics, recommendations, and optimizations. These outputs are advisory and may not always be accurate or complete. You are responsible for reviewing and deciding whether to act on AI recommendations, and for your own business and compliance decisions. RTN does not warrant any particular result from AI features.

Limitation of Liability

Indemnification

You agree to indemnify, defend, and hold harmless RTN and its affiliates, officers, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your data, your violation of these Terms or applicable law, or your infringement of any third party's rights.

Term and Termination

These Terms remain in effect while you use the Services. You may stop using the Services and close your account at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, fail to pay fees, or create risk or legal exposure for RTN or others. Upon termination, your license to use the Services ends. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive. We will handle your data after termination as described in our Privacy Policy and applicable law.

Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules, except where federal law (including the Federal Arbitration Act) applies.

Dispute Resolution; Arbitration; Class-Action Waiver

Except for claims that may be brought in small-claims court and requests for injunctive relief to protect intellectual property, any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered under the rules of a recognized arbitration provider, seated in or near Milledgeville, Georgia, or conducted remotely.

If the class-action waiver is found unenforceable, the remainder of this section will not apply to that dispute. Where arbitration is not permitted by law, the state and federal courts located in Georgia will have exclusive jurisdiction.

You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing admin@rtnsmart.com with your name, account, and a statement that you opt out.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date and provide notice as appropriate. Your continued use of the Services after the changes take effect constitutes acceptance of the updated Terms.

Miscellaneous

• Entire Agreement. These Terms and the Privacy Policy, together with any order or plan terms, are the entire agreement between you and RTN regarding the Services.
• Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver. Our failure to enforce any provision is not a waiver.
• Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
• Notices. We may provide notices by email, through the Services, or by posting on our website.
